General Conditions of Sale

1. Introduction and Scope

1.1 Contracting Entity

These General Conditions of Sale (the “Conditions” or “GCS”) govern the sale of products by International Digital Commerce Group Limited, a private company limited by shares incorporated in Hong Kong SAR, Business Registration Number 79486948, with its registered office at Room 1405, 135 Bonham Strand Trade Centre, 135 Bonham Strand, Sheung Wan, Hong Kong (the “Company”, “we”, “us”, or “our”) to customers (the “Customer”, “you”, or “your”) through our website at solangin.com (the “Website”) under the Solangin brand.

The Company is the merchant of record for all transactions conducted through the Website. We operate a direct-to-consumer international e-commerce business selling physical consumer products to customers worldwide.

1.2 Scope of Application

These Conditions apply to all orders placed by Customers for products (the “Products”) offered for sale on the Website. By placing an order through the Website, you agree to be bound by these Conditions, as well as our Terms of Use, Privacy Policy, and Returns & Refunds Policy, which are incorporated herein by reference.

These Conditions constitute the entire agreement between you and the Company regarding the purchase and sale of Products and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

1.3 Eligibility

To place an order, you must be at least 18 years of age or the age of majority in your jurisdiction of residence, whichever is greater, and possess the legal capacity to enter into binding contracts. By placing an order, you represent and warrant that you meet these eligibility requirements.

If you are placing an order on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Conditions.

1.4 Language

These Conditions are drafted in the English language. If these Conditions are translated into any other language for informational purposes, the English version shall prevail in the event of any inconsistency or discrepancy.

2. Products and Services

2.1 Product Information

We make reasonable efforts to ensure that Product descriptions, specifications, images, and other information displayed on the Website are accurate, complete, and up-to-date. However, we do not warrant that Product information is error-free, complete, or current.

Product images are for illustrative purposes only and may not reflect the exact appearance, color, size, or specifications of the actual Product. Actual Product colors may vary from images displayed on your device due to screen settings, lighting conditions, and technical limitations. Product dimensions and specifications are approximate and may vary within reasonable tolerances.

We reserve the right to correct any errors, inaccuracies, or omissions in Product information at any time without prior notice, including after an order has been submitted or confirmed.

2.2 Product Availability

All Products are subject to availability. We make reasonable efforts to ensure that Product availability information displayed on the Website is accurate, but we do not guarantee that Products will be in stock or available for purchase at any given time.

We reserve the right to discontinue Products, limit quantities, or impose restrictions on orders at our sole discretion without prior notice. If a Product becomes unavailable after you have placed an order, we will notify you as soon as reasonably practicable and offer you the option to cancel your order or substitute an alternative product of equal or greater value, subject to your acceptance.

2.3 Product Modifications

We reserve the right to modify, improve, or discontinue Products at any time without prior notice. Product specifications, features, designs, and packaging may change over time due to improvements, regulatory requirements, or supply chain considerations. Such modifications do not affect Products that have already been shipped to Customers.

3. Pricing and Payment

3.1 Prices

All prices displayed on the Website are in the currency indicated at the time of purchase. Prices include the base cost of the Product but exclude shipping fees, taxes, customs duties, and other charges unless expressly stated otherwise.

Prices are subject to change at any time without prior notice. However, changes in pricing will not affect orders that have already been confirmed by us. The price applicable to your order is the price displayed on the Website at the time you submit your order, subject to our acceptance.

3.2 Pricing Errors

Despite our best efforts, pricing errors may occasionally occur on the Website due to technical issues, human error, or other factors. We reserve the right to correct any pricing errors and to cancel or refuse any orders placed for Products listed at an incorrect price, even after an order confirmation has been sent to you.

If we discover a pricing error after you have placed an order, we will notify you as soon as reasonably practicable and give you the option to either:

  • Confirm your order at the correct price; or
  • Cancel your order and receive a full refund of any amounts paid.

If we are unable to contact you or do not receive a response within a reasonable time, we reserve the right to cancel the order and refund any amounts paid.

3.3 Taxes and Duties

Prices displayed on the Website generally do not include value-added tax (VAT), goods and services tax (GST), sales tax, customs duties, import fees, or other taxes and charges that may be applicable to your order (collectively, “Taxes and Duties”).

You are responsible for all Taxes and Duties imposed by your country or jurisdiction of delivery. The amount of Taxes and Duties, if any, will depend on the destination country, the value of the Products, and applicable laws and regulations. These charges are typically collected by the shipping carrier or customs authorities at the time of delivery or customs clearance.

For orders shipped to certain jurisdictions, including the European Union and the United Kingdom, we may collect and remit applicable VAT or other taxes at the time of purchase where required by law. In such cases, the total amount including taxes will be clearly displayed before you complete your order.

We are not responsible for any Taxes and Duties imposed by customs authorities or other government agencies. If you refuse to pay applicable Taxes and Duties, resulting in the return or abandonment of your shipment, you will be responsible for the original shipping costs, and any refund will be subject to our Returns & Refunds Policy.

3.4 Currency and Exchange Rates

Prices are displayed in the currency selected on the Website. If you pay in a currency different from your local currency, your payment card issuer or payment provider may apply currency conversion fees and exchange rates over which we have no control. We are not responsible for any currency conversion fees, exchange rate fluctuations, or related charges imposed by your payment provider.

3.5 Payment Methods

We accept payment through the following methods, as available on the Website:

  • Credit cards (Visa, Mastercard, American Express, and other cards as indicated)
  • Debit cards
  • PayPal
  • Other payment methods as may be offered from time to time

Payment processing is handled by third-party payment service providers, including Stripe, Airwallex, and PayPal (the “Payment Processors”). Your use of Payment Processor services is subject to their respective terms of service and privacy policies. We do not store or have access to your complete payment card information.

3.6 Payment Authorization and Processing

By providing payment information and submitting an order, you authorize us to charge the payment method provided for the total amount of your order, including the price of Products, shipping fees, and any applicable taxes.

Payment authorization may occur at the time you place your order or at the time of shipment, depending on the Payment Processor and payment method used. In some cases, we may pre-authorize your payment method to verify that sufficient funds are available, but the actual charge will not be processed until your order is prepared for shipment.

If payment authorization fails or is declined, we will notify you and may cancel your order. We are not responsible for any delays or failures in payment processing caused by your payment provider or Payment Processor.

3.7 Payment Security

We take reasonable measures to ensure the security of payment transactions. All payment information is transmitted using secure encryption protocols (SSL/TLS). However, we cannot guarantee absolute security, and you acknowledge that you provide payment information at your own risk.

You are responsible for maintaining the confidentiality of your payment information and for all transactions made using your payment method. You agree to notify us immediately of any unauthorized use of your payment information or account.

4. Order Process and Contract Formation

4.1 Placing an Order

To place an order, you must:

  1. Select the Products you wish to purchase and add them to your shopping cart;
  2. Review your shopping cart and make any desired changes;
  3. Proceed to checkout and provide the required information, including delivery address, contact information, and payment details;
  4. Review the order summary, including Products, quantities, prices, shipping fees, and applicable taxes;
  5. Accept these Conditions by checking the appropriate box or clicking the appropriate button;
  6. Submit your order by clicking the “Place Order,” “Complete Purchase,” or similar button.

By submitting an order, you make an offer to purchase the Products in accordance with these Conditions. Your order constitutes an offer that is subject to our acceptance.

4.2 Order Confirmation

After you submit an order, you will receive an automated email acknowledging receipt of your order (the “Order Acknowledgment”). The Order Acknowledgment is not an acceptance of your order and does not constitute a binding contract. It is merely a confirmation that we have received your order and that your order is being processed.

We reserve the right to accept or reject your order at our sole discretion for any reason, including but not limited to Product availability, pricing errors, payment verification issues, suspected fraud, or violation of these Conditions.

4.3 Contract Formation

A binding contract for the sale and purchase of Products is formed when we send you an email confirming that your order has been accepted and is being prepared for shipment (the “Order Confirmation”). The Order Confirmation will include details of the Products ordered, the total price, and the estimated delivery timeframe.

If your order contains multiple Products, we may send separate Order Confirmations for Products that are shipped separately. In such cases, a separate contract is formed for each Order Confirmation.

We reserve the right to cancel or refuse any order prior to sending an Order Confirmation, even if payment has been authorized or charged. If we cancel an order after payment has been processed, we will refund the full amount paid within a reasonable timeframe.

4.4 Order Modifications and Cancellations by Customer

Once an order has been submitted, you may not be able to modify or cancel it, as orders are processed quickly to ensure prompt delivery. If you wish to modify or cancel an order, you must contact our customer service team immediately at the contact information provided in Section 18.

We will make reasonable efforts to accommodate modification or cancellation requests, but we cannot guarantee that we will be able to do so if the order has already been processed, prepared for shipment, or shipped. If we are unable to modify or cancel your order, you may return the Products in accordance with our Returns & Refunds Policy after delivery.

4.5 Order Verification and Fraud Prevention

We reserve the right to verify and validate orders to prevent fraud, unauthorized transactions, and other illegal or suspicious activity. Verification measures may include, but are not limited to:

  • Verifying payment information and billing address;
  • Contacting you to confirm order details;
  • Requesting additional identification or documentation;
  • Limiting order quantities or frequency;
  • Refusing or canceling orders that appear suspicious or fraudulent.

We may delay processing or shipment of orders pending verification. If we are unable to verify an order or if we determine that an order is fraudulent or violates these Conditions, we reserve the right to cancel the order and refund any amounts paid.

You agree to cooperate with our verification efforts and to provide accurate and truthful information. Providing false or misleading information may result in order cancellation, account suspension, and potential legal action.

5. Shipping and Delivery

5.1 Delivery Areas

We ship Products internationally to destinations worldwide, subject to certain restrictions and limitations. Delivery availability, shipping methods, and shipping costs vary depending on the destination country and region.

We do not ship to certain countries or regions due to legal, regulatory, logistical, or security reasons. We reserve the right to refuse or cancel orders to destinations where we do not offer shipping services or where shipment is prohibited or restricted by law.

5.2 Shipping Methods and Timeframes

We offer various shipping methods, which may include standard shipping, expedited shipping, and express shipping, depending on the destination and Product. Available shipping methods and estimated delivery timeframes will be displayed during the checkout process.

Estimated delivery timeframes are approximate and are not guaranteed. Actual delivery times may vary depending on factors including but not limited to:

  • Order processing time;
  • Product availability;
  • Shipping carrier performance;
  • Destination location and accessibility;
  • Customs clearance procedures;
  • Weather conditions, natural disasters, or other force majeure events;
  • Holidays and peak shipping periods;
  • Incorrect or incomplete delivery address information.

We are not responsible for delays in delivery caused by circumstances beyond our reasonable control, including but not limited to shipping carrier delays, customs delays, or force majeure events.

5.3 Shipping Costs

Shipping costs are calculated based on the destination, shipping method, weight and dimensions of the Products, and other factors. Applicable shipping costs will be displayed during the checkout process before you complete your order.

Shipping costs are non-refundable except in cases where we have made an error or where required by applicable consumer protection laws. If you return Products in accordance with our Returns & Refunds Policy, shipping costs will be handled as specified in that policy.

5.4 Delivery Address

You are responsible for providing a complete and accurate delivery address, including recipient name, street address, city, postal code, country, and contact telephone number. We are not responsible for delivery delays, failures, or additional costs resulting from incorrect, incomplete, or illegible address information.

If a shipment is returned to us due to an incorrect address, failed delivery attempts, or refusal to accept delivery, you will be responsible for the original shipping costs, and any refund will be subject to our Returns & Refunds Policy. We may charge additional fees for reshipping returned packages.

We ship to the delivery address you provide during checkout. If you wish to change the delivery address after placing an order, you must contact us immediately. We cannot guarantee that we will be able to change the delivery address if the order has already been processed or shipped.

5.5 Delivery and Acceptance

Products will be delivered by the shipping carrier to the delivery address you provide. Depending on the shipping method and carrier, delivery may require a signature. If no one is available to accept delivery, the carrier may leave a notice with instructions for redelivery or pickup.

You are responsible for inspecting the package upon delivery. If the package appears damaged, tampered with, or opened, you should note this with the carrier and contact us immediately. We recommend that you photograph any damage to the package and its contents.

If you do not receive your order within the estimated delivery timeframe, please contact us at the contact information provided in Section 18. We will work with the shipping carrier to locate your shipment and resolve the issue.

5.6 Failed Delivery and Unclaimed Packages

If a shipment cannot be delivered due to failed delivery attempts, incorrect address information, refusal to accept delivery, or failure to claim the package, the shipment may be returned to us or abandoned.

In such cases, you will be responsible for the original shipping costs, and any refund will be subject to our Returns & Refunds Policy and may be reduced by return shipping costs, restocking fees, and any applicable customs duties or fees incurred.

5.7 International Shipping and Customs

For international shipments, Products must clear customs in the destination country. Customs clearance procedures, requirements, and timeframes vary by country and are beyond our control. Delays in customs clearance may affect delivery times.

You are responsible for complying with all applicable import regulations and for paying any customs duties, import taxes, or other fees imposed by customs authorities in the destination country. We are not responsible for any costs, delays, or issues arising from customs clearance.

In some cases, customs authorities may require additional information or documentation from you. You agree to cooperate and provide any requested information promptly to facilitate customs clearance.

If a shipment is seized, confiscated, or destroyed by customs authorities due to import restrictions, prohibited items, or failure to pay applicable duties and taxes, we are not responsible, and no refund will be provided unless required by applicable law.

5.8 Risk of Loss and Title Transfer

Risk of loss and damage to Products passes to you upon delivery to the shipping carrier. Title to Products passes to you upon delivery to the delivery address, except where payment has not been received, in which case title remains with us until full payment is received.

Once Products have been delivered to the shipping carrier, we are not responsible for loss, damage, or delay during transit, except to the extent required by applicable consumer protection laws. If Products are lost or damaged during transit, we will work with the shipping carrier to file a claim and will make reasonable efforts to resolve the issue, which may include reshipping the Products or issuing a refund.

6. Product Warranty and Conformity

6.1 Conformity with Description

We warrant that Products will conform to their description on the Website and will be free from defects in materials and workmanship under normal use for a reasonable period of time, subject to the limitations set forth in these Conditions.

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protection laws, you have statutory rights regarding the conformity of Products with their description and fitness for purpose. Nothing in these Conditions limits or excludes such statutory rights.

6.2 Limitation of Warranty

Our warranty is limited to the repair, replacement, or refund of defective Products, at our sole discretion. This warranty does not cover:

  • Normal wear and tear;
  • Damage caused by misuse, abuse, negligence, or accident;
  • Damage caused by improper storage, handling, or maintenance;
  • Damage caused by unauthorized modifications or repairs;
  • Damage caused by failure to follow product instructions or warnings;
  • Cosmetic damage that does not affect functionality;
  • Products that have been used for commercial purposes unless expressly authorized;
  • Products purchased from unauthorized resellers or third parties.

6.3 Manufacturer’s Warranty

Some Products may be covered by a manufacturer’s warranty in addition to our warranty. Manufacturer’s warranties are provided by the Product manufacturer and are subject to the manufacturer’s terms and conditions. We are not responsible for manufacturer’s warranties, and any claims under such warranties should be directed to the manufacturer.

6.4 Defective or Damaged Products

If you receive a Product that is defective, damaged, or does not conform to its description, you must notify us within a reasonable time after delivery, and in any event within thirty (30) days of delivery. Please contact us at the contact information provided in Section 18 and provide details of the defect or damage, including photographs if possible.

Upon verification of the defect or damage, we will, at our sole discretion, either:

  • Replace the Product with an identical or substantially similar product;
  • Repair the Product;
  • Issue a full refund of the purchase price, including original shipping costs where required by law.

We may require you to return the defective or damaged Product to us at our expense before providing a replacement or refund. Return instructions will be provided to you.

6.5 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WARRANTIES SET FORTH IN THIS SECTION 6 ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS, OR THAT PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

Some jurisdictions do not allow the exclusion or limitation of implied warranties. In such jurisdictions, the above limitations may not apply to you, and you may have additional rights under applicable consumer protection laws.

7. Limitation of Liability

7.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR PURCHASE OR USE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE CONDITIONS OR YOUR PURCHASE OF PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.

7.3 Exceptions to Limitations

The limitations of liability set forth in this Section 7 do not apply to:

  • Liability for death or personal injury caused by our negligence;
  • Liability for fraud or fraudulent misrepresentation;
  • Liability that cannot be excluded or limited under applicable law;
  • Your statutory rights as a consumer under mandatory consumer protection laws.

If you are a consumer in the European Union, the United Kingdom, Canada, or another jurisdiction with mandatory consumer protection laws, nothing in these Conditions limits or excludes our liability for matters that cannot be limited or excluded under applicable law.

7.4 Basis of the Bargain

You acknowledge and agree that the limitations of liability set forth in this Section 7 reflect a reasonable and fair allocation of risk between you and the Company and are fundamental elements of the basis of the bargain between you and the Company. The Company would not be able to offer Products at the prices charged without these limitations.

8. Customer Obligations

8.1 Accurate Information

You agree to provide accurate, current, and complete information when placing an order, including your name, delivery address, contact information, and payment details. You are responsible for ensuring that all information you provide is correct and up-to-date.

8.2 Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your purchase and use of Products, including but not limited to import regulations, customs requirements, product safety standards, and consumer protection laws.

8.3 Proper Use of Products

You agree to use Products only for their intended purpose and in accordance with any instructions, warnings, or guidelines provided with the Products. You are responsible for any injury, damage, or loss resulting from improper use, misuse, or abuse of Products.

8.4 Prohibited Resale

Products are sold for personal use only unless otherwise agreed in writing. You may not resell, distribute, or commercially exploit Products without our prior written consent. We reserve the right to cancel orders or refuse future orders if we believe Products are being purchased for unauthorized resale or commercial purposes.

9. Consumer Rights and Withdrawal

9.1 EU Consumer Right of Withdrawal

If you are a consumer resident in the European Union, you have the right to withdraw from your purchase within fourteen (14) days of receiving the Products, without giving any reason and without incurring any costs other than the cost of returning the Products (the “Cooling-Off Period”).

To exercise your right of withdrawal, you must inform us of your decision to withdraw by sending a clear statement to the contact information provided in Section 18. You may use the model withdrawal form provided below, but it is not obligatory.

If you withdraw from your purchase, we will reimburse all payments received from you, including the cost of standard delivery, without undue delay and in any event no later than fourteen (14) days from the day on which we receive the returned Products or evidence that you have sent back the Products, whichever is earlier. We will use the same payment method you used for the original transaction unless you expressly agree otherwise, and you will not incur any fees for such reimbursement.

You must send back the Products or hand them over to us without undue delay and in any event no later than fourteen (14) days from the day on which you communicated your withdrawal. The deadline is met if you send back the Products before the period of fourteen (14) days has expired. You will bear the direct cost of returning the Products unless we have agreed to bear that cost.

You are only liable for any diminished value of the Products resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Products. In other words, you may handle the Products as you would in a physical store, but you are liable for any decrease in value caused by excessive handling or use.

9.2 UK Consumer Right to Cancel

If you are a consumer resident in the United Kingdom, you have the right to cancel your purchase within fourteen (14) days of receiving the Products under the Consumer Contracts Regulations 2013. The process and conditions for exercising this right are substantially similar to those described in Section 9.1 above for EU consumers.

9.3 Other Jurisdictions

If you are a consumer in Canada, Australia, or another jurisdiction with mandatory consumer protection laws providing cooling-off periods or cancellation rights, you may have similar rights under applicable law. Please contact us for information about your rights in your jurisdiction.

9.4 Exceptions to Right of Withdrawal

The right of withdrawal does not apply to:

  • Products that have been personalized, customized, or made to your specifications;
  • Sealed Products that have been unsealed after delivery and are not suitable for return due to health protection or hygiene reasons;
  • Products that are, by their nature, inseparably mixed with other items after delivery;
  • Sealed audio or video recordings or sealed software that have been unsealed after delivery;
  • Perishable goods or goods with a limited shelf life;
  • Other categories of Products excluded from the right of withdrawal under applicable law.

10. Returns and Refunds

Our Returns & Refunds Policy, which is available on the Website and incorporated into these Conditions by reference, sets forth the terms and conditions for returning Products and obtaining refunds, including eligibility criteria, return procedures, refund methods, and timeframes.

Please refer to the Returns & Refunds Policy for detailed information about returning Products. If there is any conflict between these Conditions and the Returns & Refunds Policy regarding returns and refunds, the Returns & Refunds Policy shall prevail.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Conditions if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, earthquakes, floods, storms, or severe weather;
  • War, terrorism, civil unrest, riots, or armed conflict;
  • Pandemics, epidemics, or public health emergencies;
  • Government actions, laws, regulations, or orders;
  • Strikes, labor disputes, or lockouts;
  • Fires, explosions, or accidents;
  • Failures or disruptions in utilities, telecommunications, or internet services;
  • Supplier failures, material shortages, or transportation disruptions;
  • Cyberattacks, hacking, or other security incidents;
  • Any other event or circumstance beyond our reasonable control.

In the event of a force majeure event, our obligations under these Conditions will be suspended for the duration of the event. We will make reasonable efforts to notify you of the force majeure event and to resume performance as soon as reasonably practicable.

If a force majeure event continues for more than sixty (60) days, either party may terminate the affected order by providing written notice to the other party. If an order is terminated due to force majeure, we will refund any amounts paid for Products that have not been shipped.

12. Intellectual Property

12.1 Ownership
